Corporate governance continues to be the subject of considerable debate and reform in the Netherlands. The Dutch corporate governance code by the Tabaksblat Committee and new legislation on company law have a considerable impact on corporate governance of Dutch companies.
Measures against hostile takeovers, independence of directors, remuneration, conflicts of interest, disclosure, anticipated European legislative “fall out” from Sarbanes-Oxley, Dutch corporate governance initiatives and shareholder activism, are some of the corporate governance topics which affect large corporations.
